Welcome to PropCodes. These Terms of Service ("Terms") govern your access to and use of the PropCodes website at propcodes.app and the PropCodes mobile application (collectively, the "Service"), operated by ERH Capital Partners LLC ("Company," "we," "us," or "our").
By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the terms, then you may not access the Service.
1. Use of the Service
PropCodes provides a secure, cloud-based platform for property managers, landlords, and real estate teams to store, organize, and share property access codes with authorized team members. The Service is intended for lawful business use only.
You agree to use the Service only for purposes that are permitted by these Terms and any applicable law. You may not use the Service to:
- Engage in any activity that is illegal, fraudulent, or harmful to others.
- Store or distribute access codes for properties you do not have lawful authority to manage.
- Attempt to gain unauthorized access to any portion of the Service or its related systems.
- Transmit any viruses, malware, or other harmful code.
- Violate the privacy or intellectual property rights of any third party.
2. Accounts and Registration
When you create an account with us, you must provide information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account on our Service.
You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.
As an account administrator, you are solely responsible for the access permissions you grant to team members and for ensuring that all users under your account comply with these Terms.
3. Intellectual Property
The Service and its original content (excluding content provided by users), features, and functionality are and will remain the exclusive property of ERH Capital Partners LLC and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of ERH Capital Partners LLC.
4. User Content
You retain all ownership rights to the data you input into the Service, including property addresses, access codes, and photo attachments ("User Content"). By submitting User Content to the Service, you grant us a limited, non-exclusive, royalty-free license to store, process, and display this content solely for the purpose of providing the Service to you and your authorized team members.
You represent and warrant that you have all the rights, power, and authority necessary to grant the rights granted herein to any User Content that you submit, and that such User Content does not violate any third-party rights or any applicable law.
5. Subscriptions and Billing
Some parts of the Service are billed on a subscription basis ("Subscription"). You will be billed in advance on a recurring and periodic basis ("Billing Cycle"). Billing cycles are set on a monthly or annual basis, depending on the type of subscription plan you select when purchasing a Subscription.
At the end of each Billing Cycle, your Subscription will automatically renew under the exact same conditions unless you cancel it or ERH Capital Partners LLC cancels it. You may cancel your Subscription renewal either through your online account management page or by contacting our customer support team.
A valid payment method, including credit card, is required to process the payment for your Subscription. By submitting such payment information, you automatically authorize ERH Capital Partners LLC to charge all Subscription fees incurred through your account to any such payment instruments.
6. Free Trial
ERH Capital Partners LLC may, at its sole discretion, offer a Subscription with a free trial for a limited period of time. If you enter your billing information when signing up for a free trial, you will not be charged until the free trial has expired. On the last day of the free trial period, unless you cancelled your Subscription, you will be automatically charged the applicable Subscription fees for the type of Subscription you have selected.
7. Limitation of Liability
In no event shall ERH Capital Partners LLC, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:
- Your access to or use of, or inability to access or use, the Service.
- Any unauthorized access, use, or alteration of your transmissions or content, including property access codes stored in the Service.
- Any physical damage, theft, break-in, or loss occurring at properties managed through the Service.
- Any conduct or content of any third party on the Service.
PropCodes provides a secure digital storage solution for access codes. The physical security of the properties you manage remains the sole responsibility of the user. We strongly recommend following best practices for physical security in addition to using our Service.
8. Disclaimer of Warranties
The Service is provided on an "AS IS" and "AS AVAILABLE" basis without any warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. ERH Capital Partners LLC does not warrant that the Service will be uninterrupted, timely, secure, or error-free.
9. Termination
We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will cease immediately. If you wish to terminate your account, you may simply discontinue using the Service or contact us to request account deletion.
10. Governing Law
These Terms shall be governed and construed in accordance with the laws of the United States and the jurisdiction in which ERH Capital Partners LLC is registered, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
11. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
